Entity Structures

LLC and corporation filings compared

Both structures are formed with a state filing, and both need an EIN from the IRS. Their governance, tax treatment, and ongoing reporting differ, so compare them before you file.

Limited liability company

Formed by filing articles of organization with the state. Members are owners, management can be member- or manager-run, and pass-through tax treatment applies by default unless an election is made.

Corporation

Formed by filing articles of incorporation, governed by a board and shareholders, and taxed as a C-Corp or, where eligible, an S-Corp. Corporate formalities such as bylaws and minutes are typically expected.

EIN application assistance

We help prepare the IRS Form SS-4 application for domestic and international owners. Eligibility depends on your situation, and the IRS sets the final requirements.

Ongoing Obligations

State fees, annual reports, and tax registration

Each state sets its own franchise tax or fee schedule, annual report deadline, and registered agent rules. Check the current requirements on your state's official Secretary of State site before you file.

Federal tax registration through the IRS, and any state tax registration you need, are separate from formation. Our guidance explains which steps apply to your business, but tax treatment depends on your facts, so confirm it with a qualified tax adviser.
