UK LTD registration
Register a private limited company with Companies House
A UK private company limited by shares is registered directly with Companies House. Filing requirements, naming rules, and ongoing obligations depend on the company's details, so review each step before you submit.
Statutory steps
What a UK LTD filing involves
Each item below reflects a requirement or preparation step for a private company limited by shares. Confirm current rules on GOV.UK before filing.
Naming
Company name rules
Names must be unique on the register and avoid restricted words unless approval is given. Companies House checks names at incorporation, and the chosen name must end with Limited or Ltd.
Office
Registered office address
Every UK company needs a registered office address in England, Wales, or Scotland. It receives official post and must be a physical address where documents can be delivered during business hours.
Officers
Director and secretary appointments
A private company needs at least one director who is an individual aged 16 or over. Director details, service addresses, and the shareholder register are required in the initial filing.
Ongoing obligations
Annual filings and statutory accounts
After incorporation, a UK company must file a confirmation statement with Companies House at least once every twelve months, confirming company information and any changes to officers or shareholders. Annual accounts must also be prepared and filed within the statutory deadline for the company's accounting reference date.
Bizora's compliance support helps you track these dates and prepare the required documents. Filing fees are set by Companies House and are separate from our service charges.
